Notice of Amendment Notice is hereby given, that the Oakland Golf Club has restated and amended its articles of incorporation. The name of this corporation shall be “Oakland Golf Club” and the principal place of transacting business shall be in the city of Oakland in Burt County, Nebraska. This Corporation is a non-profit, mutual benefit (501c7) corporation formed for the pleasure and the promotion of golf and social activities. The general nature of the business to be transacted by this corporation shall be the buying, selling, leasing and owning of real estate and personal property and the purchasing, constructing, maintaining and operating a golf course, clubhouse, and grounds with all buildings and equipment appurtenant thereto and personal property proper or desirable for the conduct of said business; to borrow money for the purpose of the corporation and to secure the payment thereof by mortgaging its real or personal property or both, and do all things necessary in the conduct of a golf course. This Corporation commenced on the 28th day of May, 1946 from henceforth shall exist in perpetuity. The private property of the members of this Corporation shall not be liable for its obligations. None of the net earnings of the Corporation shall inure to the benefit of any member. In the event of dissolution or final liquidation of the Club, after liabilities and responsibilities have been met, all of the property and assets of the Club will be distributed as permitted by Nebraska law to the Oakland Golf Club Preservation Foundation. As per the By-Laws of the Corporation a board of nine directors shall be elected at the Annual Meeting of the Club Members from among the Members. The By-Laws establish procedures for electing officers, duties of such officers, membership structure, organizational structure, annual meetings, and special meetings as needed. The By-Laws include the process for amending such By-Laws and these Articles of Incorporation. The registered agent of the Oakland Golf Club Corporation shall be Shannon Harney with the mailing address and office at 100 Parson Ave., P.O. Box 143, in Oakland, Nebraska.
